Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of wordpress.zorachat.ai, the Zorachat plugin for WordPress (the "WordPress Plugin"), Zorachat Cloud Services, the Zorachat API relay, the public chat widget, the Live Agent mobile apps, and related products (collectively, the "Service") operated under the Zorachat name ("Zorachat," "we," "us," or "our").

By installing the WordPress Plugin, connecting Zorachat Cloud, supplying an AI provider key, deploying the widget, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

Zorachat provides an AI customer-support assistant for WordPress. Depending on configuration, the Service may include knowledge training from pages, posts, FAQs, PDFs, and WooCommerce products; a lightweight chat widget; conversational lead capture; a local WordPress Inbox with human takeover and return-to-AI; Leads and Analytics pages; optional image-aware chat; Zorachat Cloud credits and managed AI replies; and the Live Agent mobile apps for realtime monitoring and push notifications.

The WordPress Plugin does not include Meta channel integrations such as WhatsApp, Instagram, or Facebook messaging. Those features, if offered, are part of the separate Zorachat hosted platform at zorachat.ai.

Features, availability, limits, and supported providers may change over time.

The WordPress Plugin is open-source software licensed under the GNU General Public License, version 2 or later (GPLv2 or later), as stated in its files. Your rights to copy, modify, and redistribute the plugin code are governed by that licence. Nothing in these Terms limits rights granted under the GPL.

The plugin may be installed from WordPress.org or from a downloadable zip. External AI providers may charge for their services. Zorachat Cloud Services may offer free or paid credits and plans.

The plugin includes Smalot PDF Parser (MIT License) to extract text from PDFs for knowledge indexing.

Zorachat is independent of the WordPress Foundation and the WordPress.org project. WordPress and WooCommerce are trademarks of their respective owners. Compatibility references do not imply sponsorship or endorsement.

Any public-facing "Powered by Zorachat" credit controlled by the plugin is optional, and the site administrator decides whether to display it.

You may not use the Service if applicable law prohibits you from doing so or if we have previously suspended your access for a material violation of these Terms.

You must provide accurate site and business information when connecting Cloud and keep it current. You are responsible for all activity under your WordPress site and Cloud connection, and for protecting administrator passwords and AI provider API keys. Notify us promptly at support@zorachat.ai if you suspect unauthorized access.

You may bring your own OpenAI, Google Gemini, or Anthropic Claude API key, or connect Zorachat Cloud for managed AI replies with Cloud credits. Connecting Cloud may grant 5,000 credits instantly, as shown at the time of connection.

Credits are consumed according to the usage rules presented with the applicable plan. Unused credits do not roll over or retain cash value unless we state otherwise in writing. We may change credit grants, plan features, limits, or prices with reasonable notice.

Charges imposed by external AI providers you choose are separate from Zorachat charges and remain your responsibility. Failure to pay or exhausted credits may restrict AI replies until you add credits or select another provider.

You retain ownership of content submitted through the Service, including knowledge materials, WordPress pages and posts, PDFs, WooCommerce product information, instructions, conversations, attachments, and lead details (collectively, "Customer Content").

You grant Zorachat a limited, non-exclusive licence to receive, host, copy, index, retrieve, transmit, and otherwise process Customer Content only as reasonably necessary to provide, secure, and support the Service and to follow your configuration.

You represent that you have all rights and lawful bases needed to process Customer Content through the Service, including authority to use WooCommerce catalog data and visitor conversations on your site.

You decide how the assistant is configured, what it asks, what knowledge it uses, which provider is enabled, and when a human takes over. You are responsible for:

• informing visitors when they are interacting with an automated assistant where required;
• providing an accurate privacy notice and obtaining consent where required;
• establishing a lawful basis for processing personal information;
• responding to requests concerning information stored in your WordPress database;
• configuring suitable access controls and retention; and
• avoiding sensitive or special-category personal data unless you have an appropriate legal basis.

The Service uses automated systems and third-party AI models. Outputs may be incomplete, inaccurate, outdated, or unsuitable. You are responsible for testing your assistant, reviewing critical interactions, maintaining knowledge, and using human takeover from the WordPress Inbox or the Live Agent app where needed.

Zorachat does not provide legal, medical, financial, or other professional advice. You must not use the Service as the sole decision-maker for decisions that may materially affect a person's legal rights, health, safety, employment, finances, or similarly significant interests without appropriate human review.

When you select OpenAI, Google Gemini, or Anthropic Claude and supply its API key, you instruct Zorachat to process that credential and the relevant request through api.zorachat.ai and forward them to the selected provider.

You represent that you are authorized to use every credential you provide. You remain responsible for provider charges, quotas, and credential rotation. If a key may have been compromised, revoke it with the provider and replace it in the plugin promptly.

Connecting Cloud is your instruction for Zorachat to process the account, site, conversation, knowledge, lead, attachment, usage, and configuration information reasonably necessary to operate managed AI replies, credit accounting, realtime mobile live-agent monitoring, push notifications, and related Cloud features.

Local Inbox, replies, takeover, Leads, and Analytics remain available in WordPress without Cloud. Available Cloud functionality may depend on your credit balance, account status, and configuration.

You must not use the Service to:

• violate applicable law or facilitate unlawful, fraudulent, harassing, or deceptive activity;
• upload malware, spam, or content that violates third-party rights;
• probe, disrupt, bypass, or compromise the Service or another system;
• obtain unauthorized access to accounts, conversations, or credentials;
• intentionally mislead visitors about the nature of an automated assistant;
• process sensitive personal data without an appropriate legal basis; or
• resell or misuse the hosted Service except as permitted by law or the GPL for plugin code.

Our Privacy Policy explains how Zorachat processes personal information. Where you are a controller and Zorachat is your processor, we will process relevant personal information on your documented instructions, including the configuration choices you make, except where law requires otherwise.

You are responsible for determining whether your use requires a data processing agreement, consent mechanism, transfer safeguard, or other compliance measure. Using the Service does not automatically make you compliant with any particular law.

Except for Customer Content, open-source components (including the WordPress Plugin under GPLv2 or later and Smalot PDF Parser under MIT), and third-party materials, Zorachat and its licensors own the hosted Service, branding, documentation, and related intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive right to access hosted Cloud and widget services during your authorized use. Separate licences apply to the plugin code.

You may not use Zorachat trademarks in a manner that falsely suggests sponsorship or endorsement without prior written permission.

The plugin may store settings, conversations, and lead records in your WordPress database. Enabled attachments may be stored in WordPress uploads. Local storage does not mean local-only processing: AI replies, knowledge ingestion, Cloud functions, mobile monitoring, and notifications require selected information to be sent to external services as described in the Privacy Policy.

When the public widget is enabled, the visitor's browser may request the widget from widget.zorachat.ai. When an AI provider is selected, supported requests go first through api.zorachat.ai and then to the selected provider or Cloud.

You may stop using the Service at any time by disconnecting Cloud, removing API keys, or uninstalling the plugin. Uninstalling does not automatically delete hosted Cloud records or revoke rights already granted under the GPL.

We may modify, suspend, or terminate hosted Cloud or widget features for maintenance, security, legal requirements, non-payment, abuse, or material breach. Where reasonably practicable, we will provide notice of a material discontinuation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

To the maximum extent permitted by law, Zorachat and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill arising from the Service.

To the maximum extent permitted by law, our aggregate liability for claims relating to the Service or these Terms will not exceed the greater of (a) the amount you paid Zorachat during the twelve months preceding the claim or (b) USD $100.

Some jurisdictions do not permit certain exclusions, so some of the above may not apply to you.

To the extent permitted by law, you will defend and indemnify Zorachat and its affiliates from third-party claims arising from Customer Content, your configuration or use of the Service, your violation of these Terms, or your violation of law or third-party rights.

These Terms are governed by applicable law, without regard to conflict-of-law rules.

Before filing a claim, contact support@zorachat.ai and attempt informal resolution. If a dispute is not resolved within thirty (30) days, either party may pursue available legal remedies.

We may update these Terms from time to time. We will post the revised version on this website and update the "Last updated" date. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.

These Terms, the Privacy Policy, and any plan-specific Cloud terms constitute the entire agreement between you and Zorachat concerning the Service, except for rights under the GPL that apply to the plugin code. If a provision is unenforceable, the remaining provisions remain effective.

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
